Terms of Service

These Terms of Use (hereinafter referred to as "the Terms") stipulate the terms of use of the services (hereinafter referred to as "the Services") provided on this website by Terakoya.AI Co., Ltd. (hereinafter referred to as "our company"). Registered users (hereinafter referred to as "Users") must use the Services in accordance with these Terms.

Article 1 (Application)

  1. These Terms and Conditions shall apply to all relationships between the User and our company regarding the use of this Service.
  2. In addition to these Terms, the Company may make various provisions regarding the Service, such as rules for use (hereinafter referred to as "Individual Provisions"). Regardless of their name, these Individual Provisions shall constitute part of these Terms.
  3. In the event that the provisions of these Terms and Conditions conflict with the provisions of the Individual Provisions in the preceding Article, the provisions of the Individual Provisions shall take precedence, unless otherwise specified in the Individual Provisions.

Article 2 (User Registration)

  1. For this service, registration will be completed when the person wishing to register agrees to these terms and conditions, applies for registration in a manner specified by our company, and our company notifies the person wishing to register of this approval.
  2. If the Company determines that an applicant for user registration falls under any of the following items, the Company may not approve the application for user registration and shall not be obligated to disclose the reasons therefor.
    • If false information is provided when applying for user registration
    • If the application is from someone who has previously violated these terms and conditions
    • Any other case in which the Company determines that registration is inappropriate

Article 3 (Management of User ID and Password)

  1. Users are responsible for properly managing their user IDs and passwords for this service.
  2. Under no circumstances may the User transfer or lend his/her User ID and password to a third party, or share it with a third party. If the User ID and password combination matches the registered information and is used to log in, the Company will consider that the User ID is being used by the User who registered the User ID.
  3. We shall not be liable for any damages arising from the use of your user ID and password by a third party, except in cases where we are guilty of intentional or gross negligence.

Article 4 (Usage Fees and Payment Methods)

  1. In consideration of the paid portion of the Service, the User shall pay the usage fee separately determined by the Company and displayed on this website, by the method specified by the Company.
  2. If the User delays payment of the service fee, the User shall pay late payment charges at the rate of 14.6% per annum.

Article 5 (Prohibited Matters)

When using this service, users are prohibited from engaging in the following acts.

  1. Actions that violate laws, regulations, or public order and morals
  2. Any activity related to criminal activity
  3. Actions that disrupt or interfere with the functionality of the servers or networks of our company, other users of the Service, or third parties
  4. Any act that may disrupt the operation of our services
  5. Collecting or storing personal information about other users
  6. Unauthorized access or attempted access
  7. Impersonating other users
  8. Any act of directly or indirectly providing benefits to antisocial forces in relation to our services
  9. Actions that infringe on the intellectual property rights, portrait rights, privacy, reputation or other rights or interests of our company, other users of the Service, or third parties
  10. Posting or transmitting content on the Service that contains or is deemed by the Company to contain the following expressions:
    • Excessively violent language
    • Sexually explicit content
    • Expressions that lead to discrimination on grounds such as race, nationality, creed, sex, social status, family origin, etc.
    • Expressions that induce or encourage suicide, acts of self-injury, or drug abuse
    • Any other expression that includes anti-social content and offends others
  11. Any act that is intended or that the Company believes to be intended for the following purposes:
    • Sales, publicity, advertising, solicitation, and other profit-making activities (excluding those approved by our company)
    • Actions aimed at sexual intercourse or obscene conduct
    • Acts aimed at meeting or dating members of the opposite sex who the person has not met
    • Actions aimed at harassing or defaming other users
    • Actions aimed at causing disadvantage, damage or offense to our company, other users of the Service, or third parties
    • Any other act of using the Service for purposes other than those intended by the Service
  12. Religious activities or acts of soliciting to religious organizations
  13. Any other actions that the Company deems inappropriate

Article 6 (Suspension of Provision of the Service, etc.)

  1. If the Company determines that any of the following circumstances exist, the Company may suspend or interrupt the provision of all or part of the Service without prior notice to the User.
    • When carrying out maintenance, inspection, or updates of computer systems related to the Service
    • When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
    • When a computer or communication line is stopped due to an accident
    • Any other case in which the Company determines it is difficult to provide the Service
  2. The Company shall not be liable for any disadvantage or damage suffered by the User or any third party due to the suspension or interruption of the provision of the Service.

Article 7 (Copyright)

  1. Users may use this Service to post or upload only information such as text, images, and videos for which they themselves hold the necessary intellectual property rights, including copyright, or for which they have obtained permission from the necessary rights holders.
  2. The copyrights of text, images, videos, etc. posted or uploaded by a user using this service shall be reserved by the user or other existing rights holder. However, our company may use text, images, videos, etc. posted or uploaded using this service to the extent necessary for improving this service, improving its quality, correcting deficiencies, and publicizing and advertising this service, and the user shall not exercise the moral right of the author in relation to this use.
  3. Except as set forth in the main text of the preceding paragraph, all copyrights and other intellectual property rights for the Service and all information related to the Service belong to our company or to rights holders who have granted our company a license to use such information, and Users may not reproduce, transfer, lend, translate, modify, reprint, publicly transmit (including making available for transmission), transmit, distribute, publish, use for commercial purposes, or otherwise use such information without permission.

Article 8 (Restrictions on Use and Cancellation of Registration)

  1. If a User falls under any of the following items, our company reserves the right to delete the posted data, restrict the User's use of all or part of the Service, or cancel the User's registration without prior notice.
    • If you violate any provision of these Terms and Conditions
    • If it is discovered that there is a false statement in the registration information
    • If the credit card registered by the user as a payment method is suspended
    • If there is a default in payment obligations such as fees
    • If there is no response to our contact for a certain period of time
    • If the Service has not been used for a certain period of time since the last use
    • Any other case in which the Company determines that use of the Service is inappropriate
  2. If any of the items in the preceding paragraph apply to the User, all debts owed to the Company will automatically become due and payable, and the User must immediately pay all debts owed at that time in full.
  3. The Company shall not be liable for any damages caused to the User by any actions taken by the Company under this Article.

Article 9 (Withdrawal)

Users may cancel their membership to this service by following the cancellation procedures set forth by our company.

Article 10 (Disclaimer of Warranties and Disclaimers)

  1. We do not guarantee, either explicitly or implicitly, that the Service is free from factual or legal defects (including defects regarding safety, reliability, accuracy, completeness, validity, suitability for a particular purpose, security, etc., errors or bugs, infringement of rights, etc.).
  2. The Company shall not be liable for any damages incurred by the User due to the Service, except in cases where such damages are caused by the Company's willful misconduct or gross negligence. However, this disclaimer shall not apply if the contract between the Company and the User regarding the Service (including these Terms) is a consumer contract as defined by the Consumer Contract Act.
  3. Even in the case of the proviso of the preceding paragraph, the Company shall not be liable for any damages incurred by the User due to default on contract or tort caused by the Company's negligence (excluding gross negligence) that arise from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of the damages). In addition, the compensation for damages incurred by the User due to default on contract or tort caused by the Company's negligence (excluding gross negligence) shall be limited to the amount of the service fee received from the User in the month in which the damage occurred.
  4. The Company shall not be liable for any transactions, communications, disputes, etc. that arise between a user and another user or a third party in relation to the Service.

Article 11 (Changes to Service Content, etc.)

We may change, add or discontinue the content of this service with prior notice to users, and users agree to this.

Article 12 (Changes to Terms of Use)

  1. We may change these Terms of Use without obtaining the individual consent of Users in the following cases:
    • When changes to these Terms and Conditions are in the general interest of users.
    • When the change to these terms and conditions does not contradict the purpose of the Service Agreement and is reasonable in light of the necessity for the change, the appropriateness of the content after the change, and other circumstances related to the change.
  2. When changing these Terms pursuant to the preceding paragraph, we will notify the User in advance that we are changing these Terms, as well as the content of the changed Terms and the date they will come into effect.

Article 13 (Handling of Personal Information)

We will handle any personal information obtained through the use of this service appropriately in accordance with our "Privacy Policy."

Article 14 (Notice or Contact)

Any notice or communication between the User and the Company shall be made in accordance with the method specified by the Company. Unless the User notifies the Company of any changes in accordance with the method separately specified by the Company, the Company shall consider the currently registered contact information to be valid and shall notify or contact the User via said contact information, and such notice or communication shall be deemed to have reached the User at the time of sending.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge as security to a third party their status under the Service Agreement or their rights or obligations under these Terms and Conditions without our prior written consent.

Article 16 (Governing Law and Jurisdiction)

  1. The interpretation of these Terms and Conditions shall be governed by Japanese law.
  2. In the event of a dispute regarding the Service, the court having jurisdiction over our head office location shall be the exclusive jurisdiction.
